Mr. Quang is a founding partner of LCT Lawyers.   Vu Thi Que is the Partner in charge of Corporate Regulatory, Merger & Acquisition, Project Infrastructure, Real Estate & Construction projects with more than twelve years of experience in legal practice and is highly evaluated by clients for “fast response, have good business acumen and industry knowledge”. Being fluent in both English and Chinese (Mandarin), she advises a variety of English- speaking and Chinese-speaking clients and other multinational clients on a wide range of legal and compliance issues in connection with contract negotiation and drafting, foreign investment, general commercial matters, corporate regulations, mergers and acquisitions, construction, project infrastructure and energy, employment and environmental law.   Before managing Rajah & Tann LCT Lawyers, she was the Head of Legal Affairs & Corporate Compliance for Bayer Vietnam. In this position, she provided practical guidance and solutions for various legal and corporate compliance issues relating to the core businesses of the company, including consumer care, healthcare, veterinary care, agribusiness and materials science. She continued her legal career in the French largest international law firm, Gide Loyrette Nouel, as the Head of Chinese Desk.

Experience Project Infrastructure & Energy

  • Advised a leading Taiwanese state own enterprise on the set up of a lubricant oil manufacturing plant with a specialized port  with value of more than US$65 million.
  • Advised a Chinese state own enterprise for their cooperation with Vietnam Electricity (EVN) in  Duyen Hai 3 Thermal Power Plant with value of more than US$1.5 billion.
  • Advised Taiwanese leading construction group in a Build –Transfer Contract (BT Contract) for the construction of the junction line between Halong City and Bach Dang Bridge with a total value of more than US$263 million.

  Corporate/ M&A

  • Assisted a Japanese investor in acquiring the more than 20 percent shares of a listed company operating in International freight forwarding sea-air-land, logistics services and bonded warehouse services.
  • Assisted a major American education organization in the internal merger and acquisition plan in order to strengthen its presence in the South of Vietnam.
  • Advised a leading Korean corporation on deal structuring and assisted the client in drafting all the necessary legal documents to facilitate the acquisition of 100 percent shares of a legal entity in the manufacturing sector.
  • Assisted with the share transfer of a group of Singapore companies, owning two subsidiaries in Vietnam in the construction sector, to a Japanese investor.
  • Assisted a leading Hong Kong group in acquiring shares of a local textile manufacturing company.
  • Advised a Malaysian investor in conducting a legal due diligence in a five star hotel for the acquisition of the right to manage and operate the electronic gaming business of the hotel.
  • Advised on the deal structure for the share acquisition of a Hong Kong company in a joint venture company in Vietnam manufacturing healthcare products.
  • Advised a Japanese leading steel corporation on a major M&A in Vietnam.
  • Represented a variety of companies based in Vietnam on M&A transactions with various Vietnamese investment funds.
  • Advised a Vietnamese tobacco company in restructuring, due diligence and M&A with a potential buyer. The deal was led by a world class investment banker and assessed at over US$200 Million.
  • Advised a Singapore group on implementing this project starting from the beginning until the opening ceremony on 5th January 2014 of the hospital. Deal value is about US$66,000,000.
  • Advised a Netherlands animal nutrition and fish feed manufacturing on their 100 percent share transfers of its subsidiary in Vietnam.
  • Advised a French world leader in testing, inspection and certification on their 100 percent share transfer of its subsidiary in Vietnam.
  • Advised a Chinese leading cement manufacturing corporation in taking over 100 percent share of a Vietnam cement manufacturer in Vietnam.

  Banking & Finance

  • Advised a Canadian Group., a global leader in rolled aluminum products and the largest recycler of aluminum in the world, in respect of its equity capitalized in its subsidiary in Vietnam, who co-signed with other subsidiaries to entered into a 301 page Amended And Restated Credit Agreement with the value of US$1,000,000,000.
  • Advised a number of Chinese and Taiwanese commercial banks in their corporate regulatory and general commerce  matters.

  Construction & Real Estate

  • Advised Paujar Group a Taiwanese conglomerate established back in 1989, for their Dockland residential project in District 7 and their Flemington condominium project District 11, Ho Chi Minh City.
  • Advised one of the leading Singapore group on the construction and leasing of VIVO City project in Ho Chi Minh City and their real estate business activities in Binh Duong Province.
  • Advised Japanese leading real estate corporation for their joint venture cooperation with Becamex Binh Duong in a condominium project in Binh Duong Province.
  • Advised Singapore leading player in real estate industry for their investment projects in District 1 and District 5, Ho Chi Minh City.

Mr. Pham Manh Dzung, former Head of the Department of Legal Affairs at the Ministry of Planning and Investment, is an expert in foreign investment, international trade, litigation and arbitration. He joined LCT Lawyers as a partner in 2013.

Mr. Dzung holds a bachelor’s degree in law from Taskent University. Before joining LCT Lawyers, he served the Ministry of Justice for around 10 years and subsequently the Ministry of Planning and Investment for over 20 years. As Head of the Department of Legal Affairs at the Ministry of Planning and Investment, Mr. Dzung provided practical guidance and key solutions to various complex legal issues relating to investment and commerce activities in Vietnam. He was previously responsible for the drafting of several important laws including the Law on Foreign investment 1996, Amendments of 2000 and 2002, the Law on Investment, and the Law on Enterprise (2005), the Law on Land (1993, 2003), and Law on Construction (2003). Mr. Dzung partook in the Government Negotiation Delegations for the Vietnam-U.S Bilateral Trade Agreement (BTA) and Vietnam’s entry to the WTO as well as chairing negotiations of the Agreement on Investment Protection and Promotion between Vietnam and United States of America, Japan, China, Russia and over 50 other countries.

Mr. Dzung also taught at Hanoi Law University and Vietnam National University, lecturing on the laws of investment and commerce. He is a reputed arbitrator at the Vietnam International Arbitration Centre (VIAC) for the Vietnam Chamber of Commerce and Industry.

Wee Hann has over 23 years of experience in advising companies on cross-border investments, private mergers & acquisitions, sale & purchase of companies and businesses and other corporate transactions. Wee Hann also specialises in labour law and employee benefits.

He spent four years in Vietnam between 1994 and 1998, during which he advised Indonesian real estate giant Ciputra Group on its US$2.3 billion city development on 400 ha of Hanoi’s prime area along the Red River. He also secured the licence for the US$667 million Vung Tau Deep Sea Transshipment Port for his Malaysian clients, overseeing negotiations with government regulators and authorities. In Singapore, Wee Hann’s expertise also includes advising numerous biotechnology, health and pharmaceutical global leaders on cross-border acquisitions and divestments. Wee Hann has been a recommended lawyer in the Practical Law Company’s Which Lawyer? (2006 to 2013) for his work in the Life Sciences industry.   Thang brings with her over 10 years of legal experience. She maintains an impressive track-record of success in Corporate, Real Estate and M&A matters. Prior to joining Rajah & Tann LCT Lawyers, she established VN Counsel which has now merged with the firm. She was also the co-founder of VB Law in Ho Chi Minh City, which today stands among one of Vietnam’s most recognised local law firms. Her career has seen her advise Fortune 500 companies on some of the largest M&A transactions to enter the country.

  Thang is particularly regarded for her expertise in real estate and infrastructure, and her involvement in many of Vietnam’s megaprojects is a testament to her reputation in this domain. Her coverage of this field is extensive; she is experienced in negotiations, structuring and devising innovative and effective legal solutions across all deal stages and types, including project development and implementation, asset acquisitions and taxation. Hoang Thi Thanh Thuy is the Partner in charge of Merger & Acquisitions and Corporate Regulatory Compliance Practice Groups.

Being fluent in both German and English, she advises clients in connection with contract negotiation and drafting, foreign investment, general commercial matters, corporate regulations, mergers and acquisitions, banking and finance, lease contracts (land and offices) and energy, including renewable energy, employment and education law.

Before joining Rajah & Tann LCT Lawyers, she was Senior Associate of a German Law Firm in Vietnam, advising German clients and German-speaking clients in entering the Vietnam market and doing business in Vietnam, including German investors banking sector, industry, IT-companies and education organisations.

She graduated from the School of Law of Hanoi studied International Trade Law in Germany at the University of Regensburg (LL.M.) and University of Potsdam (Ph.D) under the scholarship of German Academic Exchange Services (DAAD) with focusing on international sea transport law, WTO, EU and ASEAN law. During her studying in German, Thuy was intern of the Federal Ministry of Economic and the German Developing Bank (KfW). After Ph.D study, she went through variety positions, for from which she did not only gain valuable professional experiences but also could build a strong network in her fields. 

She worked as Program Officer by InWEnt/GIZ for a Program funded by the German Government in “Capacity Building for the Office of the Government of Vietnam in Legislation skills”, Member of German Desk in the French largest international law firm, Gide Loyrette Nouel. As Legal Manager of the British University Vietnam, she was responsible for drafting and negotiation of the Land Lease Agreement for building of the main Campus of the University on 9 ha land and also involved in a Share Deal with the new Investor (major share) of the University.
